Terms of Service

1. Acceptance of Terms

By registering for or using SeatWise ("the Service"), you ("User", "you") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are registering on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not use SeatWise. Continued use of the Service after any changes to these Terms constitutes acceptance of the revised Terms.

2. Description of Services

SeatWise is a cloud-based library management platform that provides library owners with tools to manage seat bookings, member profiles, payment collection, WhatsApp reminders, attendance tracking, and revenue analytics.

The Service is available via our web application at seatwise.in and native mobile applications on Android (Google Play Store) and iOS (Apple App Store).

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Account Registration

3.1 Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts under Indian law to use SeatWise. The Service is intended for use by legitimate library owners, operators, and their authorised staff.

3.2 Account Security

You are responsible for:

• Providing accurate and complete information during registration
• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately at seatwisein@gmail.com if you suspect unauthorised access

SeatWise will not be liable for any loss resulting from unauthorised use of your account where you have failed to keep your credentials secure.

3.3 One Account Per Library

Each SeatWise subscription is intended for use at one library location (or the number of branches specified in your plan). Creating multiple accounts to circumvent plan limitations is prohibited and may result in account termination.

4. Subscriptions & Payment

4.1 Plans and Pricing

SeatWise offers multiple subscription plans as described on our Pricing page. Current plans range from ₹259/month (Monthly plan) to ₹6,499 for 5 years (Professional plan). All prices are inclusive of applicable taxes unless stated otherwise.

4.2 Payment

Payment is due at the start of each subscription period. We accept UPI, credit/debit cards, and net banking via Razorpay, our payment processor. By providing payment information, you authorise us to charge the applicable subscription fee.

4.3 Renewal

Subscriptions do not auto-renew. When your subscription period ends, your account will move to a read-only state. You can renew at any time to restore full access. We will send you reminder notifications 14 days, 7 days, and 1 day before your subscription expires.

4.4 Price Changes

We may change subscription prices with 30 days' advance notice via email or in-app notification. Price changes will not affect your current subscription period — they will apply from your next renewal date.

5. Acceptable Use Policy

You agree not to use SeatWise to:

• Violate any applicable Indian law, regulation, or court order
• Store or process data you do not have the right to use
• Impersonate any person or entity or misrepresent your affiliation
• Attempt to gain unauthorised access to our systems or another user's account
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Resell, redistribute, or sublicense access to the Service without written permission
• Send spam, unsolicited messages, or use the WhatsApp integration to harass users
• Upload malicious code, viruses, or any content designed to damage our systems or users' devices
• Use the Service for any purpose other than legitimate library management

6. Your Data & Content

Your data belongs to you. SeatWise does not claim ownership of any data you enter into the platform — member profiles, seat configurations, payment records, or any other content you create.

By using SeatWise, you grant us a limited, non-exclusive licence to store, process, and display your data solely for the purpose of providing the Service to you. This licence terminates when you delete your account.

You are responsible for:

• Ensuring you have the legal right to collect and store your library members' personal data
• Obtaining appropriate consent from your members as required by Indian data protection laws
• Maintaining the accuracy of data entered into the platform
• Maintaining backups of critical data (though we take daily backups on your behalf)

You can export all your data at any time from Settings → Export Data. Upon account deletion, we will delete all your data within 90 days as described in our Privacy Policy.

7. Intellectual Property

SeatWise and all associated software, design, trademarks, logos, and content are the exclusive property of SeatWise Technologies Private Limited and are protected by Indian copyright, trademark, and other intellectual property laws.

Nothing in these Terms grants you any right to use SeatWise's name, logo, or trademarks without our prior written permission.

Any feedback, suggestions, or ideas you provide to us about the Service may be used by us to improve the Service without any obligation to compensate you.

8. Disclaimer & Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by applicable Indian law, SeatWise shall not be liable for:

• Any indirect, incidental, special, or consequential loss or damage
• Loss of profits, revenue, data, or business opportunity
• Losses arising from service interruptions, bugs, or system downtime
• Actions of third parties including payment processors or WhatsApp

Our total liability to you for any claim arising from use of the Service shall not exceed the total subscription fees paid by you to SeatWise in the 3 months preceding the claim.

9. Termination

9.1 Termination by You

You may cancel your SeatWise account at any time from Settings → Delete Account. Upon cancellation, your access to the Service will continue until the end of your current subscription period. Please refer to our Refund Policy for information on refunds.

9.2 Termination by SeatWise

We may suspend or terminate your account immediately without notice if you:

• Violate any provision of these Terms
• Engage in fraudulent, abusive, or illegal activity
• Fail to pay subscription fees after reasonable notice

In cases of termination for cause, no refund will be provided. We will notify you of the reason for termination unless prohibited by law.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act 1996 of India.

The courts of the jurisdiction where SeatWise Technologies Private Limited is registered shall have exclusive jurisdiction over any matters not subject to arbitration.
